Terms of service

PayBell HR

These Terms of Service ("Terms") govern your access to and use of PayBell HR, a Software as a Service (SaaS) human resources platform covering employee management, attendance, leave, staff appraisal, payroll and reporting ("Service"), provided by Adlabs Consultancy Solutions Pty Ltd (behalf of PayBell HR) ("Company", "we", "our", "us"). By creating an account, accessing, or using the Service, you ("Customer", "you", "your") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

PayBell HR is a multi-tenant cloud platform that lets you:

  • Manage employee records, contracts and payroll settings.
  • Record and manage attendance, including through connected biometric clocking devices.
  • Administer leave applications, approvals and balances.
  • Run staff appraisal cycles and maintain performance review history.
  • Process payroll and generate payslips, statutory returns and other reports.

We may add, change or retire features from time to time. Where a change materially reduces a feature you rely on, we will give you reasonable notice.

2. Accounts and Access

  • You must provide accurate information when setting up your organization and user accounts, and keep it up to date.
  • You are responsible for all activity that happens under your account, including access you grant to your own administrators, managers and employees.
  • You must keep login credentials confidential and notify us promptly of any unauthorized use or suspected security incident.
  • Access within your organization is controlled by the permissions your administrators assign — you are responsible for assigning them appropriately.

3. Subscription, Fees and Payment

  • Use of the Service is subject to the subscription plan, pricing and billing cycle agreed between you and PayBell HR.
  • Fees are payable in advance for the applicable billing period unless otherwise agreed in writing.
  • We may change our fees for future billing periods; we will give you reasonable notice before any change takes effect.
  • Suspension of access for non-payment does not release you from fees already due.

4. Your Data

As between you and us, you own the employee, attendance, leave, appraisal and payroll data you put into the Service ("Customer Data"). We process Customer Data to provide the Service and as described in our Privacy Policy.

  • You are responsible for the accuracy and legality of the Customer Data you submit, including that you have the necessary rights and consents to provide employee information to us.
  • Each client's data is logically separated in our multi-tenant environment and is not shared with other clients.
  • On termination, Customer Data is retained and deleted in line with our Privacy Policy.

5. Acceptable Use

When using the Service, you agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable labour, tax or data protection law.
  • Attempt to gain unauthorized access to another organization's data, or to any part of the Service you have not been granted access to.
  • Interfere with or disrupt the integrity or performance of the Service, including its biometric device integrations.
  • Reverse engineer, resell or sublicense the Service except as expressly permitted in writing.
  • Upload data you are not authorized to share, or that infringes the rights of any third party.

6. Third-Party Devices and Integrations

The Service may connect to third-party biometric clocking devices and other systems you choose to integrate. You are responsible for the lawful use of such devices, including obtaining any consent required from your employees. We are not responsible for the performance of hardware or third-party systems outside our control.

7. Intellectual Property

The Service, including its software, design and content (excluding Customer Data), is owned by Adlabs Consultancy Solutions Pty Ltd (behalf of PayBell HR) and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal HR and payroll operations for as long as your subscription is active. No other rights are granted.

8. Service Availability and Support

  • We aim to keep the Service available and reliable, but we do not guarantee uninterrupted access. Planned maintenance will be communicated where reasonably possible.
  • Support is provided through the channels listed on our Contact page. Response times may vary by the nature and urgency of the request.

9. Suspension and Termination

  • You may stop using the Service and close your account at any time by contacting us.
  • We may suspend or terminate access if fees remain unpaid, these Terms are breached, or use of the Service poses a security or legal risk to us or other clients.
  • On termination, your right to use the Service ends immediately. Sections that by their nature should survive termination — including Your Data, Intellectual Property, and Disclaimers and Limitation of Liability — continue to apply.

10. Disclaimers and Limitation of Liability

The Service is provided on an "as is" and "as available" basis. While we take reasonable care in operating the Service and in the accuracy of statutory reports it generates, you remain responsible for reviewing payroll, attendance, leave and statutory outputs before relying on or filing them. To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential losses arising from use of the Service, and our total liability for any claim is limited to the fees you paid us for the Service in the twelve months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the Kingdom of Lesotho. Any dispute arising from these Terms or your use of the Service will be subject to the jurisdiction of the courts of Lesotho.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the date below. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
